1. Services Description

Nerix provides fully managed IT services specifically designed for assisted living and skilled nursing facilities, including:

  • Proactive IT Monitoring: 24/7 system monitoring and maintenance
  • Cybersecurity Services: HIPAA-compliant security measures, threat detection, and data protection
  • Network and Server Management: Complete infrastructure management and optimization
  • Help Desk Support: Technical support for facility staff and systems
  • Strategic IT Consulting: Technology planning and guidance tailored to healthcare facilities
  • Compliance Management: HIPAA compliance support and documentation

Our services are designed to meet the unique needs of healthcare facilities and are delivered in accordance with industry best practices and healthcare compliance standards.


2. Eligibility and Use

Our services are intended for business use by healthcare facilities, administrators, and authorized personnel. By using our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the authority to bind your organization to these terms
  • Your use of our services will comply with all applicable laws and regulations
  • You will not use our services for any unlawful or unauthorized purpose

3. User Accounts

If you create an account with us, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your account information is accurate and up to date

We reserve the right to suspend or terminate accounts that violate these terms or pose a security risk.


4. Communications

By providing your contact information, you consent to receive communications from us, including:

  • Service updates and notifications
  • Technical alerts and security advisories
  • Educational content and industry insights
  • Marketing communications (with your explicit consent)

You may opt out of marketing communications at any time by following the unsubscribe instructions in our emails or contacting us at support@nerix.tech. Please note that you cannot opt out of essential service-related communications.

5. Intellectual Property

All content, materials, and services provided by Nerix, including but not limited to:

  • Website design, text, graphics, and logos
  • Software, tools, and applications
  • Documentation, guides, and educational materials
  • Proprietary processes and methodologies

are owned by Nerix or our licensors and are protected by United States copyright, trademark, and other intellectual property laws.

You may not:

  • Reproduce, distribute, or publicly display our content without written permission
  • Modify, reverse engineer, or create derivative works from our services
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our intellectual property for commercial purposes without authorization

We grant you a limited, non-exclusive, non-transferable license to access and use our services solely for your facility’s internal business purposes.


6. Service Level and Availability

While we strive to provide reliable, uninterrupted service, we cannot guarantee that:

  • Our services will be error-free or uninterrupted
  • All defects will be corrected immediately
  • Our services will meet all of your specific requirements
  • Third-party services or systems will function as expected

We provide services on an “as is” and “as available” basis. Specific service level agreements (SLAs) are defined in individual service contracts with clients.


7. Limitation of Liability

To the fullest extent permitted by law:

Nerix shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or delays
  • Third-party actions or content
  • Force majeure events beyond our reasonable control

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for services during the twelve (12) months preceding the claim.

Important: Nothing in these terms excludes or limits our liability for fraud, gross negligence, or violations of applicable law that cannot be limited by contract.


8. HIPAA and Healthcare Compliance

For clients receiving managed IT services, we enter into separate Business Associate Agreements (BAAs) as required by HIPAA. These agreements govern the handling of Protected Health Information (PHI) and supersede these general terms with respect to PHI.

This website does not collect, store, or process PHI. Healthcare compliance obligations are detailed in service contracts and BAAs executed separately from these Terms of Service.


9. Confidentiality

We understand the sensitive nature of healthcare operations. We will:

  • Maintain the confidentiality of your proprietary information
  • Use your information only to provide agreed-upon services
  • Implement reasonable security measures to protect your data
  • Not disclose your information to third parties without consent (except as required by law or service delivery)

Confidentiality obligations are detailed further in individual service agreements.


10. Termination

By You: You may stop using our services at any time. Termination of contracted services is governed by the applicable service agreement.

By Us: We may suspend or terminate your access to our services if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or other clients
  • Fail to pay for services as agreed

We will provide reasonable notice of termination where possible, except in cases of serious violations or legal requirements.

Upon termination:

  • Your access to our services will cease
  • We will return or securely destroy your data as specified in your service agreement
  • All outstanding fees become immediately due and payable

11. Indemnification

You agree to indemnify, defend, and hold harmless Nerix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights

12. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Texas, without regard to its conflict of law principles.

Jurisdiction: Any legal action or proceeding arising from these terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

Dispute Resolution: We encourage you to contact us first to resolve any disputes informally. If informal resolution is not possible, disputes will be resolved through binding arbitration in Texas under the rules of the American Arbitration Association, except where prohibited by law.


13. Changes to These Terms

We may update these Terms of Service from time to time to reflect:

  • Changes in our services or business practices
  • Legal or regulatory requirements
  • Improvements based on user feedback

Notice of Changes:

  • Updated terms will be posted on this page with a new “Last Updated” date
  • Significant changes will be communicated via email to registered users
  • Continued use of our services after changes constitutes acceptance of the new terms

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.


15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Nerix regarding the use of our services and supersede any prior agreements.


16. No Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Nerix.
